TENIA HQ Terms of Service

TENIA HQ is the operator of the TENIA HQ platform and related services.

By creating an account, purchasing a subscription, connecting an integration, or using TENIA HQ, the user agrees to these Terms and the Privacy Policy. If the user does not agree, the user must not access or use TENIA HQ.

Users must be legally capable of entering a binding agreement, provide accurate account information, have authority to act for any organization they create or manage, and have permission to enter, upload, connect, or process information concerning other individuals.

Users are responsible for protecting account credentials, maintaining accurate information, activity under their account, assigning team roles and permissions appropriately, and promptly reporting unauthorized access.

Accounts, seats, organizations, and roles may not be shared or configured in ways that bypass plan limits.

• Features, seats, usage allowances, AI credits, integrations, and add-ons depend on the selected plan.
• Prices and billing intervals are disclosed before purchase.
• Subscriptions renew automatically unless canceled before renewal.
• Cancellation stops future renewal and ordinarily remains effective through the paid billing period.
• Fees are non-refundable except where required by law or expressly stated.
• Failed or overdue payments may cause restricted or suspended access.
• Taxes may apply.
• Third-party usage or provider limits may affect availability.
• Current Stripe pricing and the central TENIA HQ billing configuration control active charges and entitlements.
• No activation fee will be charged during the current launch period unless TENIA HQ later expressly enables and discloses it before purchase.

Customers retain ownership of information they lawfully submit. Customers grant TENIA HQ a limited license to host, process, transmit, display, and use customer data only as necessary to provide, secure, support, and improve the user-facing service.

Customers are responsible for the accuracy and legality of submitted information; required notices and consents; their communications, contacts, clients, team members, and records; and exporting information they wish to preserve before account closure.

• Google connections are optional and authorized per user.
• Users control which supported accounts and calendars they connect.
• TENIA HQ may display and synchronize Google Calendar information according to granted permissions.
• Users may direct TENIA HQ to create, edit, reschedule, or delete individual calendar events.
• Scheduling availability depends on connected-calendar data, user rules, timezones, third-party availability, and current synchronization status.
• YouTube account personalization may depend on approved read-only access and information made available by YouTube.
• Public or embedded video availability can change without notice.
• Users may disconnect or revoke Google access.
• TENIA HQ does not guarantee uninterrupted Google, Calendar, YouTube, or other third-party availability.

AI-generated content may contain errors or omissions. Users must review outputs before relying on or publishing them. AI output is not automatically legal, tax, financial, medical, employment, compliance, or other professional advice.

Users are responsible for prompts, instructions, final decisions, approvals, and published content. Provider availability, limits, and models may change. TENIA HQ may route requests among supported providers based on feature, plan, availability, cost controls, or user selection.

Customers do not receive ownership of TENIA HQ’s platform code, orchestration, system prompts, routing logic, or underlying intellectual property merely by using the service.

Dashboards, categorizations, projections, educational information, and AI-generated financial summaries are provided for organizational and informational purposes and are not guarantees of financial results.

Using TENIA HQ software alone does not establish a tax-preparer, financial-adviser, insurance-agent, attorney-client, lender, fiduciary, or other professional relationship.

Users may not:

• Engage in illegal, fraudulent, deceptive, abusive, harassing, or harmful conduct.
• Attempt unauthorized access or security testing.
• Circumvent plan limits, seats, credits, billing, or access controls.
• Upload malware or malicious code.
• Scrape or reverse engineer the service except where law expressly permits.
• Infringe intellectual-property, privacy, publicity, or contractual rights.
• Send spam or unlawful communications.
• Use another person’s account or integration without authorization.
• Use the service to make unlawful discriminatory decisions.
• Attempt to obtain TENIA HQ credentials, secrets, internal costs, or another tenant’s information.

Integrations including Google, YouTube, Clerk, Stripe, Plaid, social platforms, AI providers, and other services are operated by third parties and may have separate terms, privacy policies, fees, outages, restrictions, and approval requirements.

TENIA HQ is not responsible for changes made by third-party providers but may modify, replace, suspend, or discontinue affected integrations.

TENIA HQ retains ownership of:

• Platform source code.
• Interface and design systems.
• Workflows and orchestration.
• Databases and schemas, excluding customer-owned data.
• TENIA branding.
• AI routing and provider-control systems.
• Documentation, templates, and platform-created materials.
• Improvements and derivative platform functionality.

Users receive a limited, revocable, non-exclusive, non-transferable right to use the service during an active authorized subscription.

Users must not attempt to access another tenant’s private data or TENIA HQ’s confidential systems. Organization owners and administrators may access information within their organization according to assigned permissions.

TENIA HQ may maintain, update, improve, or change features; replace providers or models; impose reasonable limits; temporarily suspend services for security or maintenance; and release beta or preview features.

Uninterrupted or error-free operation is not guaranteed.

TENIA HQ may restrict or terminate access for nonpayment, security threats, fraud or illegal activity, material breach, abuse of systems or providers, or risk to customers, TENIA HQ, or third parties.

Users may cancel according to available billing controls.

To the maximum extent allowed by law, TENIA HQ is provided “as is” and “as available,” without warranties of uninterrupted availability, merchantability, fitness for a particular purpose, or non-infringement.

Nothing in these Terms disclaims rights or warranties that cannot legally be waived.

To the maximum extent permitted by law, TENIA HQ is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, or loss of data arising from use of the service.

Except where applicable law prohibits this limitation, TENIA HQ’s aggregate liability will not exceed the amount paid by the customer to TENIA HQ for the affected service during the three months preceding the event giving rise to the claim.

To the extent permitted by law, users agree to defend, indemnify, and hold TENIA HQ harmless against third-party claims arising from their unlawful use, customer data, content, communications, infringement, lack of required permission, or violation of these Terms.

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any court proceeding must be brought in an appropriate state or federal court serving Cook County, Illinois, unless applicable law requires otherwise.

We may update these Terms. Material changes may be communicated through the platform, website, or email. Continued use after the effective date constitutes acceptance where permitted by law.
